These Terms of Use (“Terms”) constitute a legally binding agreement between you and Redwood Active LLC, doing business as Sucker Punch Boxing (“Company,” “we,” “us,” or “our”), regarding your access to and use of our website, services, and facilities.

By accessing or using our services, you agree to be bound by these Terms.

### 1. USE OF SERVICES

You agree to use our services only for lawful purposes. You must be at least 13 years of age to participate. Individuals under 18 must have a parent or guardian complete all required waivers and provide consent.

### 2. BOOKINGS, CANCELLATIONS & NO-SHOW POLICY

All classes must be booked in advance through our approved platforms.

- Cancellations must be made at least 8 hours prior to the scheduled class start time to retain your class credit.

- Cancellations made within 8 hours of the scheduled class start time will result in forfeiture of the class credit and a $15 late cancellation fee, which will be automatically charged to the payment method on file.

- Failure to attend a scheduled class without canceling (“no-show”) will result in forfeiture of the class credit and a $15 no-show fee, which will be automatically charged to the payment method on file.

This policy is strictly enforced to ensure fair access to classes for all members.

### 3. PAYMENTS, MEMBERSHIPS & REFUNDS

All purchases, including memberships, class packs, and retail items, are final and non-refundable unless otherwise explicitly stated.

By purchasing services, you expressly authorize Redwood Active LLC to charge your payment method on file for all applicable fees, including memberships, late cancellation fees, no-show fees, and any outstanding balances.

If you are enrolled in a recurring membership:

- Memberships may automatically renew unless canceled prior to the next billing cycle

- It is your responsibility to manage or cancel your membership

- Failed or declined payments may result in account suspension, denied booking access, or additional fees

We reserve the right to change pricing at any time.

### 4. FITNESS PARTICIPATION, MEDICAL DISCLAIMER & ASSUMPTION OF RISK

Participation in boxing and fitness activities involves inherent risks, including but not limited to serious injury, permanent disability, or death.

By participating, you:

- Voluntarily and knowingly assume all risks associated with participation

- Confirm that you are physically able to engage in fitness activities

- Understand that the Company is not providing medical advice

You are encouraged to consult a physician prior to participation if you have any medical concerns.

All clients must complete a separate liability waiver prior to participating in any class or training session.

### 5. RELEASE OF LIABILITY & INDEMNIFICATION

To the fullest extent permitted by law, you agree to release, waive, and hold harmless Redwood Active LLC, its owners, employees, trainers, and affiliates from any and all claims, liabilities, damages, injuries, losses, or expenses arising out of or related to your participation in our services.

You agree to indemnify, defend, and hold harmless the Company from any claims or demands arising from your actions, misuse of services, or violation of these Terms.

### 6. RIGHT TO REFUSE SERVICE

We reserve the right to refuse service, suspend, or remove any individual at our sole discretion for behavior that is unsafe, disruptive, or violates our policies. No refunds will be issued in such cases.

### 7. MEDIA & RECORDINGS

We may capture photos or videos during classes for marketing and promotional purposes. By participating, you consent to the use of your image and likeness.

You may opt out at any time by notifying us in advance.

### 8. INTELLECTUAL PROPERTY

All content on our website, including logos, branding, text, graphics, and media, is the property of Sucker Punch Boxing and may not be copied, reproduced, or distributed without prior written permission.

### 9. ACCOUNT RESPONSIBILITY

You are responsible for maintaining the confidentiality of your account information and for all activity under your account.

### 10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Redwood Active LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages.

In no event shall our total liability exceed the amount you paid to us for services.

### 11. FORCE MAJEURE

We shall not be held liable for any delay or failure to perform due to events beyond our control, including but not limited to natural disasters, weather events, hurricanes, power outages, government actions, or emergencies.

### 12. GOVERNING LAW

These Terms shall be governed by the laws of the State of Florida. Any legal action shall be brought exclusively in the courts of Lee County, Florida.

### 13. DISPUTE RESOLUTION & ARBITRATION

To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or your use of our services shall be resolved through binding arbitration rather than in court.

You waive any right to participate in class action lawsuits or class-wide arbitration.

### 14. CHARGEBACKS & PAYMENT DISPUTES

By purchasing our services, you agree not to initiate chargebacks or payment disputes without first contacting us to resolve the issue.

Any fraudulent or unjustified chargebacks may result in account suspension, collections action, and additional fees.

### 15. TERMINATION

We reserve the right to suspend or terminate your account and access to our services at any time, without notice, for violation of these Terms or any inappropriate, unsafe, or unlawful behavior.

### 16. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

### 17. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Redwood Active LLC regarding the use of our services and supersede any prior agreements or understandings.

### 18. ELECTRONIC CONSENT

By using our website, booking classes, or purchasing services online, you consent to the use of electronic records and signatures.
